These Terms of Service ("Terms") govern your use of the AI automation services provided by Forge & Lever ("we", "us", "our"). By using our services, you agree to these Terms.
1. Services
Forge & Lever provides AI-powered automation tools, custom applications, data processing workflows, and related consulting services for businesses. The specific scope, deliverables, and pricing for your engagement will be set out in a separate proposal or agreement.
2. Your Responsibilities
You agree to: provide accurate information and data necessary for us to deliver services; ensure you have the right to share any data you provide to us; use our services only for lawful business purposes; not attempt to reverse engineer, copy, or redistribute our tools or systems; and pay all fees as agreed.
3. Intellectual Property
Your data remains your property. You grant us a limited licence to use your data solely to provide the services. Any custom tools, applications, or workflows we create for you belong to you upon full payment, unless otherwise agreed. Our underlying systems, methods, and pre-existing intellectual property remain ours.
4. AI Output Disclaimer
Our services use artificial intelligence technology. While we strive for accuracy, AI outputs may contain errors, omissions, or unexpected results. You acknowledge that: AI outputs should be reviewed before use in critical decisions; our services do not constitute professional advice (legal, financial, engineering, or otherwise); and you are responsible for verifying outputs suit your specific needs.
5. Payment Terms
Payment terms will be specified in your proposal or invoice. Unless otherwise agreed, invoices are payable within 14 days. We use Stripe to process payments securely. Late payments may incur interest at 2% per month.
6. Refunds and Cancellations
For subscription services, you may cancel at any time. Refunds for unused portions of prepaid services may be available at our discretion. For custom project work, cancellation terms will be specified in your agreement. Work completed prior to cancellation is payable.
7. Limitation of Liability
To the maximum extent permitted by Australian Consumer Law, our total liability to you for any claim arising from these Terms or our services is limited to the fees you paid us in the 12 months preceding the claim.
We are not liable for: indirect, consequential, or incidental damages; loss of profits, data, or business opportunity; decisions made based on AI outputs; or issues arising from data you provided.
8. Indemnity
You agree to indemnify us against any claims, losses, or costs arising from: your breach of these Terms; your use of our services; data you provide that infringes third-party rights; or your violation of applicable laws.
9. Confidentiality
We will treat your business data and information as confidential and will not disclose it to third parties except as required to provide services, with your consent, or as required by law.
10. Termination
Either party may terminate this agreement with 30 days written notice. We may terminate immediately if you breach these Terms. Upon termination, you remain liable for fees owed and we will return or delete your data upon request.
11. Governing Law
These Terms are governed by the laws of Western Australia. Any disputes will be resolved in the courts of Western Australia.
12. Changes to Terms
We may update these Terms from time to time. Continued use of our services after changes constitutes acceptance. We will notify you of material changes.
